Any comments, suggestions, feedback, ideas, or submissions sent to GurusofDesign.com and/or DesignSource (collectively, “Submissions”) shall become and remain our exclusive property and will not be returned or eliminated from our systems. Your providing to us of a Submission shall constitute a representation and warranty from you to Design Source, its affiliates, their respective officers, directors, shareholders, agents, independent contractors, employees and the other users of the GurusofDesign.com website (collectively, the “Beneficiaries”) that: (i) you are the sole originator and owner of such submission and you have all necessary rights, title and interest to submit same to DesignSource and grant the rights granted with respect thereto as provided below; (ii) your Submission does not infringe, misappropriate or otherwise violate any third party’s intellectual property or other rights. You agree to indemnify, defend and hold Design Source and the other beneficiaries described above harmless from and against any claim, loss, expense, obligation, damages or any liability of any kind (including, without limitation, legal fees and expenses) suffered by any of them as a result of any breach of any of the foregoing representations and warranties. Furthermore, your submission of such material shall constitute an assignment to DesignSource of all worldwide right, title, and interest in and to the materials including all copyright and other intellectual property. We may use, copy, publish, disclose, display, modify, sublicense, transfer and distribute any materials you send us, for any purpose whatsoever, without attributing them to you or compensating you in any way. Therefore, we recommend that you do not send us any confidential materials or information or anything that you do not wish to unconditionally assign to us.
Our website invites you to make us an offer to buy one or more of the service packages shown on the pages. Your order is an offer to buy some of those services, which we accept only by acknowledging your membership and service package orders. Any confirmation that you receive after placing an order does not constitute an acceptance of your offer, and is subject to correction before our services are rendered in the event of inaccuracies, errors, unavailability, or for any other reason.
All services are provided as consultation for your personal residential use only. All services are on a prepaid basis only and amount of services provided directly relate to various membership levels as indicated. All advice and suggestions provided are based soley on our responses to information provided by client/user. The amount of time spent on a project by the GurusofDesign.com team will specifically relate the level of membership purchased and cannot exceed specified time restraints as indicated wihin each membership level. Additional projects and special projects are generally completed within (30) days of purchase. Once a project has reached closed status – any and all changes shall be the sole responsibilty of client/user and may incur additional charges.
All execution of design concepts, ideas and suggestions, including labor, purchasing and/or securing suggested items is the sole repsonsibility of the client/user. GurusofDesign.com has no affiliation or connection with any contractor, vendor, retailer or provider and will not be held responsible for the completion of any projects by such contractors, vendors, retailers, or providers hired by client/user. Likewise, the GurusofDesign.com will not be held liable for any claim arising out of the client/user hiring a contractor, vendor, provider or labor to execute any of our suggestions. You are responsible for complying with all federal, state and/or local laws, regulations, codes, licensing and permitting requirements, homeowner’s or similar association requirements, insurance and other requirements with respect to your projects.
All items, vendors, companies, retailers or resources which are suggested or referred by the GurusofDesign.com team are not affiliated in any way with GurusofDesign.com. Therefore GurusofDesign.com shall not be liable for any claims or be held responsible for any issues arising as a result of a client/user doing business with any of the referred vendors, companies, retailers or resources.
A credit card is required for all membership categories that include use of services. Valid payments must be received in full prior to services being rendered. All payments are non-refundable. Your credit card will be charged for the full amount of the membership category you choose. Activation begins upon payment. You will be reminded by email prior to the expiration of your membership. Your credit card will not be charged with a renewal membership until first authorized by you. Credit card statements will show DesignSource Intl as the company credited with payment. All sales are final, no refunds, exchanges or credits. In the event of client default in payment or dispute – GurusofDesign.com reserves the right to cease any pending projects and/or terminate your membership and access and will not be liable to complete said projects even after a dispute is resolved. You are responsible for and agree to pay any and all taxes that apply to the services and/or products purchased via the GurusofDesign.com website.
Information you obtain from the site and advice you receive as a result of using our services should be used only for ideas and general suggestions, not as professional advice for you to rely upon, and the information and ideas provided may not be appropriate, feasible or compatible with your particular situation, wants and needs. As a result, availability of certain designers may be limited and we cannot guarantee one specific designer, nor may you request or expect to receive the services of any one specific designer. Your interaction will be with design team members collectively rather than with any one individual designer but will provide you with best possible solutions based on our entire teams efforts. Our final responses to your requests are representative of a collective team of designers and you will never be given an individual name or contacted by an individual.
Our website displays the colors we suggest as accurately as possible, however the appearance of those colors may vary as a result of the quality of your monitor and for other reasons. We cannot guarantee that your monitor's display of any color will be accurate.
You may not tamper with other user accounts, commit unauthorized intrusion into any part of GurusofDesign.com website or use the GurusofDesign.com website to intrude into any other system. You may not use GurusofDesign.com website services not included in your membership. Acts of interference, including but not limited to, password cracking, defrauding others into releasing their passwords, denial-of-service attacks (sending packets with an illegal packet size, UDP flooding, ping-flooding, half-open TCP connection flooding, etc.) are prohibited. You agree to maintain your password to access the GurusofDesign.com website confidential, not to share it with others and you shall not permit others to use the GurusofDesign.com website through your password. You shall contact GurusofDesign promptly if you suspect that the security of your password may have been compromised.

GurusofDesign.com shall have no obligation to monitor the Communication Services. However, GurusofDesign.com reserves the right to review materials posted to a Communication Service and to remove any materials in its sole discretion. GurusofDesign.com reserves the right to terminate your access to any or all of the Communication Services at any time without notice for any reason whatsoever. GurusofDesign.com further reserves the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in its sole discretion. Materials sent to a Communication Service may be subject to posted limitations on usage, reproduction and/or dissemination. You are responsible for adhering to such limitations if you received the materials.
You may not send unsolicited e-mail to any recipient that has not specifically made its/his/her e-mail available for such purposes. GurusofDesign.com prohibits the transmission of e-mail that is false, misleading, harassing, libelous, defamatory, legally obscene or pornographic, threatening, abusive or hateful to non-consenting recipients. The forwarding or propagation of chain letters of any type (including charity requests or petitions for signatures) is prohibited. "Mailbombing" (i.e., flooding a user or site with large or numerous e-mail messages) is prohibited.

DesignSource provides the services "as is," "with all faults" and "as available," and the entire risk as to satisfactory quality, performance, accuracy, suitability, safety and effort is with you. DesignSource make no representations or warranties of any kind, express or implied, as to the operation of this site or the information, content, materials, products or services included on this site. By using this site, you agree to assume full responsibility for any costs associated with servicing or repairs of any equipment you use in connection with your use of our site and any other costs resulting from your use of our site. These limitations and exclusions apply without regard to whether the damages arise from (1) breach of contract, (2) breach of warranty, (3) strict liability, (4) tort, (5) negligence, or (6) any other cause of action, to the extent such exclusion and limitations are not prohibited by applicable law. If you are dissatisfied with the website and/or services, you do not agree with any part of this agreement, or have any other dispute or claim with or against DesignSource with respect to these terms or the services, then your sole and exclusive remedy is to discontinue using the site and/or services. Design Source’s maximum liability relating to your use of our website will not exceed the total of amounts paid by you to us in connection with your use of our site during the then immediately prior six months.
You agree to indemnify, defend, and hold DesignSource and the other Beneficiaries harmless from and against any claim or demand, including, but not limited to, legal fees and expenses, , made by any third party due to or arising out of your use of the website and/or services and any activity related to your account by you, any e-mail or Submission sent by you, the violation of these terms by you, or the infringement by you, or any other user or person accessing the site using your account, of any intellectual property or other right of any person or entity. DesignSource reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you.
You hereby agree to release, remise and forever discharge DesignSource and the other Beneficiaries from any and all manner of rights, claims, complaints, demands, causes of action, proceedings, liabilities, obligations, legal fees, costs, and disbursements of any nature whatsoever, whether known or unknown, which now or hereafter arise from, relate to, or are connected with your use of the site and/or the services.
Any dispute relating to your visit to GurusofDesign.com or any affiliated website must be submitted to confidential arbitration in Miami, Florida, except to the extent and manner you have violated or threatened to violate any rights of DesignSource or its affiliates' property rights. DesignSource or its affiliates may then seek injunctive or other appropriate relief in any state or federal court in the State of Florida, and you hereby irrevocably consent and submit to personal jurisdiction venue in such courts and waive any argument of forum non conveniens. The prevailing rules of the American Arbitration Association shall govern these terms and conditions. The arbitrator's award shall be binding and can be entered as a judgment in any court of competent jurisdiction.
We reserve the right to immediately terminate these terms and conditions and/or your access to and use of the site at any time and for any reason, with or without notice.
